These Terms & Conditions ("Terms") govern the sale and use of the Nightship software and subscriptions ("Nightship", the "Service") offered at nightship.io. Nightship is a product of:

Nightship is self-hosted software for distributing in-development builds to your team, together
with a launcher to run them. You operate Nightship on your own server; your builds and data remain
on your infrastructure. A paid subscription unlocks a number of privileged
seats (see §5) and any add-ons you purchase. All product features are included on
every paid plan; plans differ only by seat count and add-ons. As an optional add-on,
Nightship Cloud lets us host your instance for you at
<name>.nightship.cloud instead (see §9a).
Orders and payments are processed by our payment provider and reseller, Paddle.com Market Limited ("Paddle"), which acts as the Merchant of Record for your purchase. Paddle handles checkout, invoicing, and applicable sales tax / VAT, and appears on your statement and receipt. By purchasing, you also agree to Paddle's buyer terms. Prices are stated in USD unless shown otherwise at checkout; taxes are added and displayed at checkout based on your location.
A "privileged seat" is one user holding the admin or publisher role on your server; both roles count equally toward your seat total. Regular members who subscribe to and download builds are not counted and are unlimited. Your subscription grants a non-exclusive, non-transferable licence to use Nightship for the number of privileged seats purchased, for the duration of the subscription.
A 30-day free trial with one privileged seat is available. Trials require no payment to begin and are shown as "Trial" in the product. We may end or limit trials that are abused.
We offer a 30-day money-back guarantee as set out in our Refund Policy, which forms part of these Terms. Statutory rights of consumers, including any statutory right of withdrawal, remain unaffected.
You agree not to use Nightship unlawfully, to distribute malware or infringing content through it, to attempt to circumvent licensing or seat limits, or to resell the Service without our written consent. You are responsible for the builds and data you distribute using Nightship.
Because Nightship is self-hosted, availability of your server is your responsibility. We provide the software, updates during your subscription, and support by email; we do not operate your instance and give no uptime guarantee for self-hosted deployments unless separately agreed.
If you purchase the Nightship Cloud add-on, we operate a dedicated Nightship instance for you
at <name>.nightship.cloud on servers in Germany. The hosting fee is charged per
instance together with your subscription and renews with it. We run the instance and apply
updates. Our servers are snapshotted daily for disaster recovery; backups of your individual
instance into storage you control can be switched on in Admin → Storage and are encrypted with
a key only you hold. We do not offer a formal service-level agreement; we operate the service
with reasonable care on a best-effort basis and publish live status at
status.nightship.io.
You remain responsible for the builds and data you upload and for the users you invite.
When the subscription ends or the add-on is cancelled, your instance is suspended at the end of the paid period and its data is deleted 30 days later. Before that date you can ask us for an export of your data. We may suspend an instance earlier for non-payment or for a breach of §8 (acceptable use), and will notify you by email when we do.
The Service is provided with reasonable care. To the extent permitted by law, implied warranties are excluded; mandatory statutory warranty rights for consumers remain unaffected. We are liable without limitation for intent and gross negligence and under mandatory statutory provisions (including the German Product Liability Act) and for injury to life, body or health. For slight negligence we are liable only for breach of an essential contractual obligation ("cardinal duty"), limited to the foreseeable, contract-typical damage. Any further liability is excluded.
We process personal data as described in our Privacy Policy. Payment and billing data are processed by Paddle as Merchant of Record under its own privacy terms. For Nightship Cloud we process the data in your instance on your behalf as a processor; a data processing agreement (DPA) is available on request.
We may update these Terms; the version in force at the time of your order or renewal applies. We will make material changes reasonably visible in advance.
These Terms are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer-protection provisions of the country of a consumer's habitual residence remain unaffected. For merchants, the exclusive place of jurisdiction is the court competent for the registered seat of Smartfull Solutions GmbH, to the extent legally permissible.
